The Securities Commission of the Bahamas
(“the Commission”) is a statutory body mandated to administer the
Securities Industry Act, 1999; Securities Industry Regulations, 2000; the
Investment Funds Act, 2003 and the Investment Funds Regulations, 2003.
The Securities Industry Act, 1999, provides
the Commission with specific powers to regulate the securities market.
Issuers making offering to the public of shares, bonds and most other
financial instruments are required to file a prospectus with the
Commission. Additionally, all industry participants, including stock
exchanges, brokers, and broker-dealers and securities investment advisors,
operating in or from the Bahamas are required to register with or be
licensed by the Commission.
Equally, the Investment
Funds Act, 2003, empowers the Commission to regulate investment funds and to
license investment fund administrators that operate within or from The
Bahamas.
