Committees of the Board
Committees were
established to assist the Board in carrying out its role.
Currently there are two Board-established Committees. The
Committees were as follows:
Audit Committee
This committee advises and makes recommendations to the
Commission on all matters relating to corporate governance,
including internal financial controls, internal and external
audits and compliance with financial reporting requirements
Human Resources Committee
This committee assists the Commission in establishing and
reviewing remuneration and other policies for all employees
of the Commission. The committee is also responsible, by way
of policies and packages, for providing employees with
appropriate incentives to encourage enhanced performance,
rewarding them for their individual contributions to the
success of the Commission, and to the extent possible,
ensuring that they are competitive to current industry
standards.
Disciplinary Proceedings of the Board
The Commission, as a part of its function to maintain the integrity of the
capital markets, has the authority to conduct investigations
and hearings. The Board carried out these functions via 2
standing statutory bodies. These bodies were:
Hearing Panel
This Panel presides over regulatory hearings and
determines disciplinary matters of the Commission. In
carrying out its functions, the Hearing Panel is empowered
to impose various sanctions, remedies or other relief, as
provided for in the Securities Industry Act, 1999 and
Investment Funds Act, 2003.
Disciplinary Committee
This committee assists the Executive Director
in making recommendations to the Commission, on the
appropriate disciplinary action to be taken as a result of
an investigation.
